Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your access to and use of WEDO Inventory (the "App"), a Shopify application developed and operated by WEDO Inc ("we," "us," or "our"), accessible at wedoinventory.app. By installing the App through the Shopify App Store, you ("Merchant" or "you") agree to be bound by these Terms.
If you do not agree to these Terms, do not install or use the App.
2. Service description
WEDO Inventory is an embedded Shopify application that enables merchants to track inventory at the component and raw-material level, build and manage bills of materials linked to Shopify products, create and manage purchase orders and supplier records, run production workflows and log stock transactions, and receive automatic stock adjustments when Shopify orders are placed.
The App is a B2B tool intended for Shopify merchants. It does not provide a storefront, process end-customer transactions, or handle payment card data.
3. Eligibility
To use the App you must have a valid, active Shopify store; have legal authority to bind your business to these Terms; be at least 18 years of age; and not be located in a jurisdiction where use of the App is prohibited by law.
4. Account and installation
The App is accessed through your Shopify admin. You are responsible for maintaining the security of your Shopify credentials, all activity under your installation, and ensuring team members use the App in accordance with these Terms. You may not share access with stores other than your own without a separate installation per store.
5. Acceptable use
You agree to use the App only for lawful business purposes. You must not:
- Use the App to process unlawful content
- Reverse engineer, decompile, or extract source code
- Use automated tools to scrape or overload our infrastructure
- Circumvent access controls
- Violate Shopify's Partner Program Agreement
- Resell or sublicense access
We reserve the right to suspend or terminate access for violations.
6. Intellectual property
Our IP. The App, including code, design, features, and documentation, is owned by WEDO Inc and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.
Your data. You retain ownership of all data you enter into the App. By using the App, you grant us a limited license to process and store that data solely to provide the Service.
Shopify data. Product and order data accessed through the Shopify API remain subject to Shopify's Partner Program Agreement and your merchant agreement with Shopify.
7. Pricing and billing
Subscription fees are charged through Shopify Managed Billing and appear on your Shopify invoice. By approving a subscription charge within Shopify, you authorize recurring billing at the applicable plan rate. We reserve the right to change pricing with at least 30 days' notice.
8. Refund policy
- Monthly plans. Full refund within the first 14 days of your initial subscription. After 14 days, monthly fees are non-refundable.
- Annual plans. Pro-rated refund for the unused portion within 30 days of the initial charge. After 30 days, annual fees are non-refundable.
- Uninstallation. Uninstalling stops future billing but does not automatically trigger a refund. Submit refund requests to hello@wedoworldwide.com.
We reserve the right to decline refund requests made in bad faith or outside the windows above.
9. Termination
By you. You may stop using the App at any time by uninstalling it from your Shopify admin.
By us. We may suspend or terminate access immediately, with or without notice, if you violate these Terms or Shopify's policies, engage in fraudulent or unlawful conduct, or fail to pay applicable fees.
Effect of termination. Your right to use the App ceases immediately. We delete your store's data per the retention policy in our Privacy Policy. Sections 6, 10, 11, 12, 13, and 14 survive termination.
10. Warranties and disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
You are responsible for maintaining your own backup records of critical inventory data. We are not liable for data loss resulting from third-party service outages.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WEDO INC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; OR DAMAGES ARISING FROM YOUR RELIANCE ON INVENTORY DATA GENERATED BY THE APP.
OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
12. Indemnification
You agree to indemnify, defend, and hold harmless WEDO Inc from claims, liabilities, damages, losses, and expenses arising out of your use of the App in violation of these Terms; your violation of any law; or any third-party claim arising from your store's operations.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of North Carolina, USA. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Transylvania County or the Western District of North Carolina.
If you are located in the EU or UK, nothing in this section affects your rights under mandatory consumer protection laws in your jurisdiction. As this is a B2B service, such protections may not apply.
14. Changes to these Terms
We may modify these Terms at any time. Material changes are reflected in the "Last Updated" date. Continued use after the effective date constitutes acceptance.
15. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and WEDO Inc regarding the App.
